1. Introduction and Acceptance
These Terms of Service ("Terms") are a binding contract between you and JettCrew Inc., a Delaware corporation ("JettCrew," "we," "us," or "our").
JettCrew provides an AI workforce platform for builders, remodelers, trade and specialty contractors, and general contractors. Our AI teammate, Jett, works alongside a builder's team: it reads and updates records in the tools the builder already uses, and it sends and receives text messages with the builder, their team, and, once the builder registers, their vendors and clients.
These Terms govern your use of our website at https://jettcrew.com (the "Site") and the JettCrew platform, applications, AI teammate, messaging, and integrations (the "Service").
By accessing the Site, creating an account, or using the Service, you agree to these Terms. Clicking to accept or otherwise agreeing electronically is a legally binding electronic signature. If you accept on behalf of a company, you confirm you can bind it, and "you" means that company.
Sections 1 through 3, 7.2, 10 through 12, and 16 through 23 apply to everyone who uses the Site. The rest apply once you use the Service.
2. Definitions
| Term | Meaning |
|---|---|
| Authorized User | A person you allow to use the Service under your account, including employees and contractors |
| Connected System | A third-party system you connect to the Service, such as project management, accounting, email, calendar, or file storage |
| Customer Data | Data you or your Authorized Users submit, that the Service retrieves from a Connected System for you, or that a Recipient sends into the Service |
| Input | Instructions and Customer Data provided to Jett |
| JettCrew Parties | JettCrew and its affiliates, and their officers, directors, shareholders, employees, contractors, agents, licensors, suppliers, service providers, successors, and assigns |
| Output | Messages, drafts, summaries, estimates, records, or other content Jett generates |
| Recipient | Anyone other than you and your Authorized Users who sends or receives a message through the Service, including vendors, subcontractors, suppliers, and clients |
| Routines | Skills, routines, AI teammates and agents, templates, instructions, automations, and their settings in the Service, whether provided by us or created or customized by you |
| Subscription | Your paid or trial access to the Service under a selected plan |
3. Eligibility, Business Use, and Territory
3.1 Business use. The Service is for construction businesses. You represent that you use it only for your trade, business, or profession, not for personal, family, or household purposes. To the extent the law allows, protections that apply only to consumers do not apply to these Terms.
3.2 Age and authority. You must be at least 18 and able to enter a contract.
3.3 United States only. The Service is offered only in the fifty states and the District of Columbia, and texting is limited to United States numbers. Without our written agreement, you may not use the Service for data about people outside the United States.
4. Your Account
4.1 Accuracy. You will provide accurate information, including for carrier registration, and keep it current. One account per business; you may not open additional accounts to get more trials or to get around a suspension.
4.2 Authorized Users. You may add Authorized Users within your plan's limits. You are responsible for their use of the Service as if it were your own. Credentials may not be shared. Because Jett recognizes your team by phone number, promptly remove anyone who should no longer have access, including former employees, and tell us if a phone used with the Service is lost or stolen.
4.3 Account owner. Your account owner controls settings, connections, Authorized Users, billing, and access to all Customer Data in the account. The account belongs to your business, not to the person who created it. If control is disputed, we may transfer ownership to someone we reasonably verify is authorized to act for your business.
4.4 Security. Keep credentials confidential and notify us promptly at info@jettcrew.com of any unauthorized access. You are responsible for all activity under your account, except to the extent caused by our failure to meet our security obligations.
4.5 Data isolation. The Service is multi-tenant and uses technical controls, including at the database level, to keep each customer's data separate. You may not attempt to access another customer's data.
5. Subscriptions, Billing, and Trials
5.1 Plans and fees. Fees, features, and usage allowances are shown when you purchase. All amounts are in U.S. dollars. We may correct pricing errors, in which case you may cancel the affected order instead.
5.2 Payment. Fees are charged in advance at the start of each billing period. Stripe processes payments under its own terms. You authorize recurring charges to your payment method while your Subscription is active and will keep it current. We do not store full card numbers.
5.3 Automatic renewal. Your Subscription renews automatically for the same term until you cancel. Before you subscribe, we disclose the price, billing frequency, and how to cancel, and we obtain your agreement to automatic renewal separately from these Terms. After you subscribe, we send a confirmation of your Subscription terms and how to cancel.
5.4 Cancellation. You may cancel anytime in your account settings or by emailing support@jettcrew.com. Canceling never takes more steps than subscribing. Cancellation takes effect at the end of your current billing period; you keep access until then and are not charged again.
5.5 Renewal and price notices. For terms of one year or longer, we send a renewal reminder 15 to 45 days before renewal. We do not send reminders for monthly or quarterly plans; your renewal date and price are shown in your account. We may change our prices, including for existing Subscriptions, with at least 30 days' notice. A price change takes effect at your first renewal after the notice period, and you may cancel before then.
5.6 Free trials. Trials may or may not require a payment method. A trial without a payment method simply ends and is never charged. Before you start, we disclose the trial length, end date, price afterward, and how to cancel. If a trial requires a payment method, it converts to a paid Subscription unless you cancel before it ends. We obtain your agreement to that conversion separately from these Terms, and for trials longer than 31 days we send a reminder 3 to 21 days before conversion. Canceling during a trial takes effect immediately. One trial per business; we may change or end trials at any time.
5.7 Usage. Plans include usage allowances. When an allowance runs out, we may pause or slow the affected feature, or charge overage at disclosed rates. Opt-out confirmations and HELP replies always continue to work.
5.8 Carrier and registration fees. Standard carrier, phone number, and registration fees are included in your plan price unless we disclose otherwise before you incur them.
5.9 Taxes. Fees exclude taxes, which you pay, other than taxes on our income.
5.10 Late payment. We may retry failed charges, suspend access after notice, and charge interest at the lesser of 1.5 percent per month or the maximum legal rate, plus reasonable collection costs including attorneys' fees.
5.11 Refunds. Fees are non-refundable except as required by law or stated in these Terms. We may issue a refund or credit at our discretion without creating any future obligation.
5.12 Billing disputes and chargebacks. Report billing errors to support@jettcrew.com within 30 days, and keep paying any amounts not in dispute. Filing a chargeback without contacting us first breaches these Terms; we may suspend your account until it is resolved and recover any fees we incur from chargebacks that are not upheld. Your rights under federal law and card network rules are unaffected.
6. Jett, Your AI Teammate
This section limits our responsibility for Jett and makes you responsible for reviewing and correcting its work. Please read it carefully.
6.1 What Jett does. Depending on your plan and settings, Jett reads and updates records in Connected Systems, drafts, sends, and answers messages, schedules and confirms appointments, organizes documents and photos, follows up on open items, and prepares drafts and summaries. Its capabilities change over time.
6.2 Jett acts for you. When you configure Jett, connect a system, enable a capability, or approve an action, you authorize Jett to act on your behalf within that scope. Actions Jett takes within that scope are your actions, to the same extent as if taken by your own employee, and you are responsible for them.
6.3 Oversight is a safeguard, not a guarantee. We provide controls such as approvals, editing before sending, taking over a conversation, pausing a capability, and activity logs available for at least 30 days. The Service is designed to hold certain actions for your decision. These controls depend on your settings and on your people responding, and we do not warrant that any message or action was reviewed by a person. You choose your settings and are responsible for reviewing what Jett does. If you turn off approvals, run routines automatically, or otherwise give Jett more autonomy, you are responsible for the actions Jett takes as a result, including actions you approved when setting up a routine.
6.4 Matters you must review. Do not rely on Jett as the sole basis for decisions or communications about pricing, bids, estimates, or quantities; contracts or change orders; payments or accounting entries; liens, permits, inspections, or code compliance; jobsite safety; insurance or licensing; employment; or legal or tax positions. A qualified person on your team must review these first.
6.5 AI can make mistakes. Output may be inaccurate, incomplete, or invented, even when it reads as confident. You must review Output before relying on it, including Jett's messages to your clients, vendors, and team, and you are responsible for correcting Jett's mistakes, including by following up directly with anyone who received inaccurate or unintended information. Estimates, takeoffs, and quantities are drafts only. Output may not be unique to you and may not be protected by copyright. No JettCrew Party is liable for losses from relying on Output, including missed appointments, scheduling conflicts, delays, or other job impacts.
6.6 Your own agreements. Because Jett communicates in your name, its statements may create expectations or obligations for you. You will keep agreements and disclosures with your clients, vendors, and staff that permit AI-assisted communications and address which statements bind you.
6.7 Not a professional service. We are a software provider, not your contractor, estimator, bookkeeper, accountant, attorney, insurance broker, or employee. Jett does not give professional advice, and the Service does not move money or make payments. Where Jett creates invoices, bills, or other records in an accounting system, you are responsible for reviewing and approving them.
6.8 AI models. Jett uses AI models from third-party providers, which may change or retire them. We may substitute models. You will follow the use policies of those providers that apply to your use of the Service.
6.9 Ownership of Inputs and Output. As between us, you own your Inputs and Output, and we assign to you any rights we have in Output. This does not extend to our Routines, Proprietary Materials, or other technology described in Section 11.
6.10 Generated images and video. Do not present images or video Jett generates as real photos or recordings of actual work, places, or people, or use them to mislead anyone, and do not generate likenesses of real people without their consent.
7. Text Messaging
7.1 Two kinds of texting.
- Your team. Each account gets a JettCrew phone number for Jett to text with you and your Authorized Users. These texts run under JettCrew's own registered messaging program.
- Your vendors and clients. For Jett to text your vendors, subcontractors, suppliers, and clients, your business registers as its own messaging sender, and Jett uses a separate number in your business's name. This requires an active paid Subscription and carrier approval.
Calls to either number receive a short automated message asking the caller to text. We do not currently offer voice calling or record calls. Jett's numbers and the Service are not monitored for emergencies and must not be used to report one. In an emergency, call 911.
7.2 JettCrew's texting programs. JettCrew runs three texting programs of its own, each with its own opt-in. Opting in to one does not opt you in to another, and opting out of one does not affect the others. Opting in is optional and is never a condition of using the Service or buying anything. Carriers are not liable for delayed or undelivered messages.
Jett texts, for account holders and their Authorized Users:
- Program: JettCrew (Jett). Jett texts you about your jobs and your account, including schedule and job updates, confirmations, reminders, requests for information, and replies to your messages. These texts are never promotional.
- From: Your company's Jett number, shown in the app.
- Opting in: You opt in by texting Hi to your company's Jett number, from the mobile number on your profile, using the prompt in the app. Jett never texts you before you have sent that first text. You can use Jett in the web app instead.
- Frequency and cost: Message frequency varies. Msg & data rates may apply.
- Stop and help: Reply STOP to opt out, START to resume, or HELP for help. You can also reach us at info@jettcrew.com.
Support team texts, for account holders and their Authorized Users:
- Program: JettCrew Support. The JettCrew support team texts you about onboarding and your account. These texts are never promotional.
- From: A JettCrew business number.
- Opting in: You opt in by checking the optional texting box when you sign up or accept an invite. It is unchecked by default, and it is not consent to texts from Jett.
- Frequency and cost: Message frequency varies. Msg & data rates may apply.
- Stop and help: Reply STOP to opt out, START to resume, or HELP for help. You can also reach us at info@jettcrew.com.
JettCrew Updates, for people who opt in on our Site:
- Program: JettCrew Updates. Marketing texts about early access, beta and launch news, demos, and product updates.
- From: A JettCrew business number.
- Opting in: You opt in by checking the texting box on a form on our Site, such as an early access, waitlist, or demo request. Consent is not a condition of any purchase.
- Frequency and cost: Message frequency varies. Msg & data rates may apply.
- Stop and help: Reply STOP to opt out, START to resume, or HELP for help. You can also reach us at info@jettcrew.com.
For all three programs:
- Privacy: Our Privacy Policy explains how we handle your mobile information. We do not share mobile opt-in data with third parties for their marketing.
Texts to your vendors and clients run under your own business's program and texting terms page, described in Section 7.4.
7.3 Registering your business. You authorize us to register your business with our messaging provider, the mobile carriers, and The Campaign Registry using the information you provide, including your legal business name, EIN, entity type, address, website, and support email. That information must be accurate and match your IRS records. Carriers and registries control approval and timing, and approval is not guaranteed. We are not liable if a registration is delayed, rejected, or later revoked, and your fees remain due. Businesses without an EIN cannot currently register.
7.4 Your texting terms page. Carriers require each registered business to publish its own texting terms and privacy disclosures. You authorize us to create and host those pages in your business's name from a template you review and accept during setup, to link them in your registration, and to identify your business by name in Jett's texts. You are responsible for the accuracy of the information on them and for telling us when it changes.
7.5 You are responsible for your messages. For texts to your vendors and clients, your business is the registered sender and the party on whose behalf every message is sent. For team texts, we hold the registration, but you remain responsible for how your team uses it. Providing the platform or holding a registration does not make us the sender of your communications or shift to us any responsibility for consent, content, or who is contacted.
7.6 Consent. Jett texts a vendor or client only after that person texts Jett first. You invite them from your own phone using a link we provide, and their first text is their opt-in. You will send invites only to people you have a genuine working relationship with, about their work with you, and you will not buy, rent, or scrape contact lists. A contact's consent covers your business only. You will keep contact phone numbers current and remove any you know or suspect have changed hands, since consent does not transfer to a number's new owner. Accepting these Terms is not consent to receive texts, and texting consent is never a condition of using the Service.
7.7 Job coordination only. Jett is for schedules, confirmations, job details, status updates, photos and documents, and follow-ups. You will not use the Service to send marketing, promotional, advertising, solicitation, review-request, survey, or lead-generation texts. Our content check is a safeguard, not a guarantee, and getting around it is a material breach. If you use Jett to remind clients about payments, you are responsible for complying with debt collection laws, and Jett must not be used to threaten, harass, or misstate amounts owed.
7.8 Opt-outs. Anyone can reply STOP to opt out and START to resume. Opt-outs take effect immediately, apply to the business they opted out from, and stay in effect until that person opts back in themselves. You will not try to get around an opt-out, including by re-adding the person, using another number, or asking them through another channel to opt back in.
7.9 Jett is an assistant. Jett identifies itself as an assistant. You will not configure or prompt it to claim to be a person or to impersonate anyone.
7.10 Following the law. You will comply with all laws and carrier rules that apply to your texts, including the Telephone Consumer Protection Act and FCC rules, the CAN-SPAM Act, state telemarketing and messaging laws, CTIA guidelines, and 10DLC registration rules. We do not enforce sending hours; you are responsible for any timing rules that apply to you. If you are unfamiliar with these rules, talk to your own attorney.
7.11 Phone numbers. We provide phone numbers for your account. You do not own them, and transferring them out is not guaranteed. Any transfer request must be made before your Subscription ends and may be subject to carrier requirements and a disclosed fee. When your Subscription or trial ends, we hold your numbers for a period and then release them, after which carriers may reassign them and they cannot be recovered. Resubscribing during the hold restores them. After the hold ends, your vendors' and clients' opt-ins lapse, and you will need to invite them again.
7.12 Delivery and our rights. Carriers may filter, delay, or block texts, and we do not guarantee delivery. We may review message content and consent records for compliance, require changes, block messages, and suspend texting immediately if we reasonably believe your use creates legal, carrier, or reputational risk.
7.13 Messaging risk. You assume all risk from the content, timing, recipients, and consequences of texts sent on your behalf. No JettCrew Party is liable for a message's content, a message sent to the wrong person or at the wrong time, a message not sent or delivered, or a misread inbound message, and we owe no duty to your Recipients. Your indemnification obligations under Section 18 cover messaging claims whether brought against you, us, or both, and whether or not we are alleged to be jointly liable, except to the extent caused by our gross negligence or willful misconduct, and are not limited by Section 17. If such a claim is made or likely, we may require reasonable assurance, including proof of insurance, that you can meet those obligations, and may suspend texting until you do.
8. Connected Systems
8.1 Connecting. You may connect supported systems for project management, accounting, email, calendar, and file storage. You authorize us and Jett to access, read, create, update, and delete data in them on your behalf, within the permissions you grant, and you confirm you have the right to grant that access.
8.2 Their terms. Each provider's own terms govern your use of its system, and you keep your own account, licenses, and credentials with it.
8.3 Working copy. To work quickly without overloading a Connected System, the Service keeps a working copy of connected data. It refreshes on a schedule and in response to events, so it is not a live mirror, and we do not warrant that it matches the source. Confirm anything time-sensitive in the source system.
8.4 Changes Jett makes. Reads and writes by Jett can be wrong, and many systems cannot undo a change. We do not guarantee that a record changed or deleted in a Connected System can be restored.
8.5 Notifications those systems send. Changing a record in a Connected System may cause that system to send its own emails, notifications, proposals, or approval requests to your clients, vendors, or team. Those messages are sent by that system under your settings, not by us, and no JettCrew Party is responsible for them. Review each system's notification settings before letting Jett make changes in it.
8.6 Recordings and transcripts. Where you capture audio or enable access to meeting transcripts through the Service, you are responsible for obtaining any consent that recording and wiretap laws require from every participant, including all-party consent states. We do not access recordings or in-meeting chat from connected meeting systems.
8.7 Third-party performance. No JettCrew Party is responsible for a Connected System's availability, accuracy, security, changes, or discontinuation. A provider may change its API or end access at any time, which may degrade or end an integration without breaching these Terms.
9. Your Data
9.1 Ownership and your rights to it. You own your Customer Data. You confirm you have the right to provide it and to have it processed as these Terms describe, including any notices to, and consents from, your clients, team, and subcontractors that the law requires.
9.2 Our license. You grant us a limited license to host, process, and transmit Customer Data only as needed to provide, maintain, improve, secure, and support the Service, perform the tasks you direct, comply with law and carrier rules, and enforce these Terms.
9.3 No AI training. We do not use Customer Data, including Inputs, Output, and messages, to train or fine-tune any AI model. Improving the Service is not training: we may review conversations and Jett's actions to fix problems and improve quality, test Jett against de-identified examples, and refine our prompts and instructions, subject to the Google data limits in our Privacy Policy. We send Customer Data only to AI services whose terms, for the specific service and route we use, prohibit training on it, and those terms bind the provider to protections equivalent to these Terms and our Privacy Policy. We do not currently have zero-data-retention arrangements, so providers may keep data briefly for abuse monitoring and legal compliance. Providers are listed at https://jettcrew.com/subprocessors/.
9.4 What Jett learns stays yours. What Jett learns about your business, including your preferences, contacts, and job history, stays in your account and is never used to serve another customer. We may use aggregated, de-identified data to operate, secure, and improve the Service, including to offer insights across customers such as typical lead times or common causes of delay. That data will not identify you, your contacts, or anyone else, we will not attempt to re-identify it, it never draws on Google Workspace data, and it is not Customer Data.
9.5 Our access to your account. Our staff may access your account and Customer Data on a least-privilege basis to support you, fix problems, improve quality, secure the Service, check compliance with these Terms, and comply with law. Our staff are bound by confidentiality. Google data is subject to the narrower access limits in our Privacy Policy.
9.6 Security. We maintain commercially reasonable safeguards and will notify you of a security incident affecting your Customer Data without undue delay. No system is completely secure, and you are responsible for your own credentials, devices, and Connected Systems.
9.7 Data you should not submit. Do not intentionally submit Social Security or other government ID numbers, payment card or bank credentials, health information covered by HIPAA (we do not sign business associate agreements), consumer credit reports, biometric data, information about children under 13, or export-controlled information. Photos sent in by Recipients may occasionally contain such information; you are responsible for reviewing and deleting it.
9.8 Retention and deletion. Within 30 days after your Subscription or trial ends, we disconnect your Connected Systems. We keep your inactive account and Customer Data for at least 90 days so you can export it or reactivate, usually longer, without committing to any period beyond that, and it may then be deleted. You may request permanent deletion at any time in the Service or at info@jettcrew.com. Google data, consent and opt-out records, backups, and records required by law follow the rules in our Privacy Policy.
9.9 Not a system of record. The Service is not a backup or archive. Keep your own copies of records you need. You assume the risk of data loss, except to the extent caused by our failure under Section 9.6.
9.10 Processing terms. We do not currently offer a separate data processing agreement. Where we process personal information for you, we act as your service provider: we process it only on your instructions, which these Terms and your settings constitute; we do not sell or share it or use it for any other purpose, except to maintain and improve the Service as the law permits service providers to do; we bind our staff and subprocessors to equivalent obligations and remain responsible for them; we help you, at your cost where the effort is substantial, with privacy requests and required assessments; we list subprocessor changes on our Subprocessors page; and on termination we delete or return it under Section 9.8.
10. Content You Submit and Copyright
10.1 Your content. Photos, voice notes, documents, files, and messages that you, your team, or your Recipients send into the Service are Customer Data, and you are responsible for them. You confirm you have the rights and any consents needed for that content, including for images of identifiable people, and that it infringes no one's rights. We do not pre-screen content and may remove anything we reasonably believe breaks these Terms or the law.
10.2 Copyright complaints. Send notices of claimed infringement meeting the requirements of 17 U.S.C. 512(c)(3) to our designated agent: Bo Dillon, JettCrew Inc., 417 Main St, Little Rock, AR 72201, info@jettcrew.com, 501-244-3616. If your content was removed by mistake, you may send a counter-notice meeting 17 U.S.C. 512(g)(3); we will restore it 10 to 14 business days after receipt unless the complaining party tells us it has filed suit. We terminate repeat infringers in appropriate circumstances.
11. Intellectual Property
11.1 Ours. The Service, Site, software, models, agent architecture, prompts, skills, Routines, interfaces, and documentation are owned by us and our licensors. They include trade secrets, and unauthorized access or extraction may be pursued under the Defend Trade Secrets Act and state law. JettCrew and Jett names and logos are our trademarks and may not be used without our permission, except to refer to the Service.
11.2 Your license. Subject to these Terms and payment, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your Subscription for your internal business.
11.3 Routines. You may create, adapt, and customize Routines, including AI teammates, within the Service. As between us, we own all Routines, including their structure, logic, instructions, and prompts, and you have a license to use those in your account during your Subscription. Routines are not Customer Data. We may offer the same or similar Routines to other customers, and you will not claim ownership or exclusivity in any Routine, pattern, or prompt.
11.4 Proprietary Materials. Our system prompts, agent instructions, tool definitions, orchestration and routing logic, guardrails, evaluation data, and internal reasoning traces ("Proprietary Materials") are our trade secrets. We have no obligation to disclose them, and we may withhold or redact them from any screen, log, export, or response, except where law or legal process requires.
11.5 What export covers. Your export and access rights cover Customer Data. They do not cover Routines, Proprietary Materials, aggregated data, model internals, or internal and security logs, and we may decline or redact requests that reach those. Your rights under privacy law are unaffected.
11.6 Restrictions. You will not copy, modify, resell, or sublicense the Service; reverse engineer it or try to extract its prompts, instructions, or models, including by prompting Jett to reveal them; use the Service or Output to build or train a competing product or model; get around usage limits or safety, consent, or oversight controls; or use the Service unlawfully.
11.7 Feedback. You grant us a perpetual, irrevocable, royalty-free license to use any feedback you give us.
11.8 Publicity. You grant us the right to use your business name and logo to identify you as a customer, including on our website and in sales materials. You may opt out anytime at info@jettcrew.com. Case studies, testimonials, and quotes require your written approval.
11.9 Mobile apps. Our mobile apps are licensed to you under these Terms and the terms of the app store you got them from. For apps from Apple: these Terms are between you and JettCrew, not Apple; Apple has no obligation to support the app; if the app fails to conform to a warranty, you may notify Apple, which will refund any purchase price, and Apple has no other warranty obligation; JettCrew, not Apple, is responsible for claims relating to the app, including product liability, legal compliance, and intellectual property claims; you confirm you are not in an embargoed country or on a U.S. restricted-party list; and Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to the app and may enforce them. For apps from Google Play, JettCrew, not Google, is responsible for the app.
12. Acceptable Use
You will not use the Service to break any law or anyone's rights; send unlawful, deceptive, harassing, or abusive messages; impersonate anyone; commit fraud or deceptive trade practices; discriminate unlawfully; access systems or data without permission; spread malware; overload or disrupt the Service; or do anything we reasonably determine risks harm to people, to us, or to our providers. We may investigate and report suspected unlawful activity.
13. Confidentiality
Each party will use the other's non-public information only to perform under these Terms, protect it with reasonable care, and share it only with people who need it and are bound by similar duties. This does not cover information that is public, already known, independently developed, or rightfully received from someone else, or disclosures the law requires, with prompt notice where allowed. Our confidential information includes Proprietary Materials and non-public product information. Yours includes Customer Data. These duties last five years after termination, or longer for trade secrets.
14. Service Changes and Support
14.1 Changes. We may add, change, or remove features, models, integrations, and Routines at any time, including beta features, which are provided as is. If a change materially reduces core functionality you rely on, you may cancel and receive a pro rata refund of prepaid unused fees as your only remedy.
14.2 Availability. We use commercially reasonable efforts to keep the Service available, but we do not commit to an uptime level or offer service credits. Maintenance and outages at hosting, carrier, AI, or other providers may interrupt the Service.
14.3 Support. Support is typically available weekdays, 9 a.m. to 5 p.m. Central, excluding holidays, through in-product chat or support@jettcrew.com. We do not guarantee response times.
14.4 Reporting problems. Tell us promptly about errors so we can fix them. Delay may limit what you can recover.
15. Suspension and Termination
15.1 By you. You may cancel under Section 5.4.
15.2 Suspension and termination by us. We may suspend or terminate your access immediately, with notice where practical, if you materially breach these Terms, do not pay, create legal, security, carrier, or reputational risk, fail to provide information we need for verification or registration, become insolvent, or if the law or a provider we rely on requires it. We may also suspend access at our discretion while we investigate suspected misuse, or to protect the Service, other customers, or our carrier standing. Where practical, we may suspend only a feature, number, or user. Fees continue during a suspension, and we are not liable for losses it causes. After a for-cause termination, you may not open a new account without our written consent.
15.3 By us for convenience. We may end your Subscription on at least 14 days' notice and refund prepaid unused fees.
15.4 Effect. When your Subscription ends, your access ends, Jett stops acting for you, accrued fees become due, and your numbers are handled under Section 7.11. Export what you need before then, and let your contacts know how to reach you. Provisions that by their nature should survive termination do survive, including Sections 6.5, 7.13, 9, 11, 13, and 16 through 22.
16. Disclaimers
JETT IS AI AND CAN MAKE MISTAKES. THE SITE AND SERVICE, INCLUDING JETT AND ALL OUTPUT, ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR FREE, THAT OUTPUT WILL BE ACCURATE OR SUITABLE FOR ANY PURPOSE, THAT ANY MESSAGE WILL BE DELIVERED, OR THAT YOUR USE WILL COMPLY WITH THE LAWS THAT APPLY TO YOUR BUSINESS.
We do not promise any business result, such as time or cost savings, more work won, or higher margins. Examples, figures, and benchmarks we publish reflect specific circumstances and are not predictions. Product previews, roadmaps, and waitlist signups are not commitments to provide any feature, price, or access.
17. Limitation of Liability
17.1 No indirect damages. TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, PROJECTS, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
17.2 Cap. THE JETTCREW PARTIES' TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100. THIS CAP APPLIES IN THE AGGREGATE, REGARDLESS OF THE NUMBER OF CLAIMS, EVENTS, OR CLAIMANTS. For free or trial use, the cap is $100.
17.3 Exceptions. These limits do not apply to your payment obligations, your indemnification obligations, your breach of Sections 7, 11.6, 12, or 13, either party's gross negligence, willful misconduct, or fraud, or anything else the law does not allow us to limit.
17.4 Mitigation and timing. You will take reasonable steps to limit any loss. Except for claims for payment, indemnification, confidentiality, or intellectual property, claims must be brought within one year after they arise. An indemnification claim arises when the underlying third-party claim is first made.
17.5 Basis of the bargain. These limits apply to every claim, including claims arising from Output, actions Jett takes, or messages sent through the Service. They reflect the allocation of risk built into our prices, are an essential part of these Terms, and apply even if a limited remedy fails of its essential purpose.
18. Indemnification
18.1 By you. You will defend, indemnify, and hold harmless the JettCrew Parties from third-party claims, and resulting losses, fines, and reasonable attorneys' fees, arising from:
- Texts and other communications sent or received on your behalf, including claims under the TCPA, CAN-SPAM, and state messaging laws
- Your registration information, invitations, and consent practices
- Actions Jett takes within the scope you configured
- Your Customer Data and submitted content
- Your breach of these Terms or the law
- Your business, your work, and your relationships with your clients, vendors, employees, and Connected System providers
- Activity under your account
This applies whether the claim is against you, us, or both, and whether or not we are alleged to be jointly liable, except to the extent the claim results from our gross negligence or willful misconduct.
18.2 By us. We will defend you against third-party claims that the Service itself infringes a U.S. patent, copyright, or trademark or misappropriates a trade secret, and pay resulting damages or settlements we agree to. This does not cover claims arising from your Customer Data, Inputs, or Output, your breach, combinations with anything we did not provide, changes we did not make, free or beta use, or continued use after we tell you to stop. We may instead modify the Service or end your Subscription with a pro rata refund. This obligation is subject to Section 17.2 and is your only remedy for such claims.
18.3 Procedure. The indemnified party will give prompt notice and reasonable cooperation, and the indemnifying party controls the defense, but may not settle in a way that admits fault for, or imposes obligations on, the other without consent. Late notice excuses the obligation only to the extent it causes material prejudice. If you do not diligently defend a claim you must indemnify, we may take over the defense at your expense.
19. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT LIMITS YOUR RIGHT TO A JURY TRIAL AND TO A CLASS ACTION.
19.1 Informal resolution. Before starting a proceeding, the party with the dispute will send written notice, to info@jettcrew.com if to us, and both will try in good faith to resolve it for 30 days.
19.2 Arbitration. Unresolved disputes will be decided by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator, seated in Little Rock, Arkansas, and conducted by video where practical. The Federal Arbitration Act governs this section.
19.3 No class actions or jury trials. YOU AND WE EACH WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE TO BRING CLAIMS ONLY INDIVIDUALLY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
19.4 Exceptions. Either party may bring an individual small claims action, seek injunctive relief in court to protect intellectual property, confidential information, or account security, or seek public injunctive relief in court. If the class waiver is unenforceable for a claim, that claim proceeds in court and the rest of this section still applies.
19.5 Opt-out. You may opt out of arbitration by writing to info@jettcrew.com within 30 days after first accepting these Terms.
19.6 Costs. Each party bears its own attorneys' fees, except as the arbitrator, the law, or Sections 5.10 and 18 provide.
20. Governing Law
Arkansas law governs these Terms, without regard to conflict of laws principles. Disputes not subject to arbitration belong exclusively in the state and federal courts in Little Rock, Arkansas.
21. Changes to These Terms
We may update these Terms. For material changes, we will give at least 30 days' notice by email or in the Service before they take effect. Other changes take effect when posted. Whether a change is material depends on its effect on you, not its reason. Continuing to use the Service after a change takes effect means you accept it; if you do not agree, cancel before then, and if a material change harms you, you may cancel for a pro rata refund. Changes to Section 19 do not apply to disputes already noticed. Earlier versions are available on request.
22. General
22.1 Entire agreement. These Terms, our Privacy Policy, and any order you sign with us are the entire agreement and replace any earlier understanding. You have not relied on anything outside them. Terms in your purchase orders have no effect.
22.2 Order of precedence. A signed order controls over these Terms. Our Privacy Policy controls over these Terms on matters of data collection, use, and privacy. These Terms control on everything else.
22.3 Assignment. You may not assign these Terms without our written consent, including through a change of control. We may assign them freely, including in a merger or sale.
22.4 Force majeure. Neither party is liable for delays or failures beyond its reasonable control, including outages at internet, cloud, carrier, or AI providers. Payment obligations still apply.
22.5 Notices. We may notify you by email, in the Service, or on the Site. Send notices to us at info@jettcrew.com. Formal service of process goes to our registered agent, Corporation Service Company, 251 Little Falls Drive, Wilmington, New Castle County, Delaware 19808.
22.6 Electronic communications. You agree to receive communications from us electronically, which satisfy any requirement that they be in writing.
22.7 Other terms. If any provision is unenforceable, it is limited to the minimum extent necessary and the rest remains in effect. Not enforcing a provision is not a waiver. The parties are independent contractors, and neither may bind the other except as Sections 6 and 7 allow. These Terms create no rights for third parties, except as Section 11.9 provides for app stores, though the JettCrew Parties may enforce provisions that benefit them. You will not use the Service in violation of U.S. sanctions or export laws. These Terms will not be construed against us as drafter. "Including" means "including without limitation." The English version controls.
